CONTENT OF THE ANNOUNCEMENT BY MAKING THE PLAN OF DIVISION AVAILABLE TO THE PUBLIC ON THE WEBSITE OF IMEX LOGISTICS SP. Z O.O.
The divided company, i.e. the company under the business name IMEX LOGISTICS spółka z ograniczoną odpowiedzialnością with its seat in Zbrudzew, ul. Śremska nr 134C, (63-100 Śrem), whose registration files are kept by the District Court Poznań - Nowe Miasto and Wilda in Poznań, IX Economic Department of the National Court Register, entered in the Register of Entrepreneurs of the National Court Register under the KRS number: 0000374143, having NIP: 4990630528, REGON number: 320940391 and share capital in the amount of 50. 000.00 PLN (in words: fifty thousand zlotys and 00/100) hereby announces by way of free public disclosure, in accordance with the contents of Article 535 § 3 of the Code of Commercial Companies, a plan of division by separation, i.e. by transferring a part of the assets of the company under the name of IMEX LOGISTICS SP. Z O.O. (as the divided company) to the newly established company under the planned name IMEX ASSETS SP. Z O.O. (as the newly formed company).
The demerger plan was prepared on February 28, 2023 and then, as of February 28, 2023, made available free of charge on this website of the demerged company - continuously until the date of completion of the shareholders' meeting adopting the resolution on the demerger.
